Orrick, Herrington & Sutcliffe LLP is pleased to announce that Ning Zhang has joined the Beijing office as a Corporate partner.
Ning brings extensive experience in M&A, private equity and venture capital (both investor side and company side), as well as capital markets (both U.S. and Hong Kong). He represents leading private equity and venture capital funds (including Actis, BAI, CBC Capital, COFCO Agricultural Industrial Equity Investment Fund, CDH, Goldman Sachs, IDG, GSR Ventures, JAFCO, Matrix Partners, Northern Light, SAIF Partners, Sequoia Capital, TA Associates and Warburg Pincus) investing in Chinese companies, and also advises Chinese companies through all stages of their life cycle, from restructuring, debt and equity financings, outbound investments and acquisitions, public offerings in Hong Kong and the U.S. to trade sales and going-private transactions. He represents Chinese technology companies in raising capital from the U.S. and Hong Kong, as well as fund clients based around the world in their investments in Chinese companies. He also has extensive experience in the healthcare sector.

Ning has advised Alibaba on its investments in and acquisitions of Internet companies such as KTPlay and Anquanbao, advised Actis on its auction sale of China’s leading professional catering equipment manufacturer to ITW and sale of an education group involving five schools and two non-degree training institutions to a leading PRC education company, advised iSoftStone on its US$162 million IPO on the NYSE, formation of a joint venture with Huawei and $337 million going-private transaction, and represented Sequoia Capital and CBC Capital in their investments in Airbnb and in forming a joint venture with LinkedIn to launch LinkedIn’s China operations. He represented Goldman Sachs and Credit Suisse as joint bookrunners for the $138 million IPO of Tarena International, Inc. (NASDAQ: TEDU) and for Focus Media’s (NASDAQ: FMCN) $323 million follow-on offering. He also represented China Polymetallic Mining Limited (SEHK: 2133) in its $164 million IPO and Besunyen Holdings Company Limited (SEHK: 0926) in its $194 million IPO on the Hong Kong Stock Exchange.
Ning joins Orrick from O’Melveny & Myers. Dual qualified in China and New York, Ning earned a B.A. in Economics, an LL.B. and an LL.M. in International Economic Law from Peking University, and an LL.M. in International and Comparative Law from Southern Methodist University.
