Country Style Cooking Restaurant Chain Co., Ltd. (NYSE: CCSC), a fast-growing quick service restaurant chain in China, announced on December 18, 2015, that it has entered into a definitive agreement and plan of merger to be acquired by a consortium of investors for approximately US$45 million.
Immediately after the completion of the transaction, Country Style Cooking will be owned by Ms. Hong Li, Co-Founder and Chairwoman of the Board, Mr. Xingqiang Zhang, Co-Founder, Chief Executive Officer and Director of the company and Sky Success Venture Holdings Ltd. (the Buyer Group), and SIG China Investments One, Ltd.
Kirkland & Ellis is advising the special committee of the board of directors of NYSE-listed Country Style Cooking Restaurant Chain Co., Ltd. Skadden is acting as U.S. legal advisor to the Buyer Group.
The Kirkland team on the transaction is being led by Hong Kong corporate partners David Zhang, Jesse Sheley and Xiaoxi Lin.
