L&L acted for and advised Emerson group in connection with its acquisition of GE's Intelligent Platforms Business (GE’s automation and control products software division).
The Firm assisted with structuring, implementation and completion of the Indian leg of the acquisition, and advised the client extensively on the pre-closing and closing steps, in line with the agreed terms between Emerson and GE.
The firm also provided high level advice on employment and real estate matters germane to the transaction in India and has also been involved in the review, preparation, population, revision and finalization of step plans, corporate and employment documents and summary charts detailing the various structuring, transfer and implementation stepspursuant to the acquisition.
The acquisition is an important investment in Emerson’s global portfolio of automation technologies and will enable Emerson, a world leader in automation for process and industrial applications, to become an even stronger player in the automation space and expand its capabilities across process, hybrid and discrete markets, such as metals & mining, life sciences, food & beverage and packaging.
The team worked in close collaboration with Emerson’s international legal counsel Baker & McKenzie, and also with the DLA Piper and Trilegal, International and domestic counsel respectively representing GE, to conclude the transaction.
