Baker McKenzie has successfully acted for Yum! Brands Inc., in a deal spanning Australia, the US and Israel, on its proposed acquisition of Dragontail Systems Limited (an ASX listed company) by way of a share scheme of arrangement for an aggregate consideration of AUD 93.5 million. Completion of the transaction, which is subject to a number of conditions, including Court approval, Dragontail shareholder approval and receipt of various regulatory approvals and waivers, is expected to occur on or around late September 2021.
Yum! Brands, Inc., based in Louisville, Kentucky, has over 50,000 restaurants in more than 150 countries and territories primarily operating the company’s restaurant brands – KFC, Pizza Hut and Taco Bell – global leaders of the chicken, pizza and Mexican-style food categories.
