On 21 October 2021, Asian Legal Business (ALB) held their 17th SE Asia Law Awards to pay tribute to the outstanding performance of legal practitioners, in-house teams, cooperative teams and law firms. The Equity Market Deal of the Year (Midsize) was awarded to GHY Culture and Media’s IPO, in which JunHe participated in.
Earlier this year, GHY Culture and Media launched an initial public offering and was successfully listed on the main board of the Singapore Exchange Limited (SGX). The lead partners from JunHe were ZHAO, Xiyong (Sammuel), YU, Jinlong, HUANG, Rongnan and LI, Ruochen. The main undertaking partner was YU, Jinlong. As the domestic legal counsel of the underwriter, JunHe was responsible for the domestic legal due diligence, corporate restructuring, regulatory interviews, compliance issues and other legal work during the listing process.
GHY Culture and Media is the first listed company on the SGX in recent years to control assets operating within China by means of a VIE. In the face of several rounds of supervision questions from the SGX, JunHe’s team put forward effective solutions by virtue of its profound understanding of VIE structures, compliance requirements, and regulatory changes related to the overseas listing of red chip structures under the recent changes as well as their experience in providing legal services related to overseas IPOs.
