Kudun and Partners is one of Thailand’s leading independent law firms.
Emboldened by a vision to redefine the traditional working relationship between law firms and their clients and create a vibrant new practice, Kudun and Partners was founded in 2015 by four young partners who shared a passion for acting as trusted business advisors with unparalleled legal experience rather than simply as legal counsel.
Our experienced team of international and Thai lawyers, comprised of 12 partners and 45 associates, act as trusted advisors to a range of government entities, financial institutions and private equity funds, as well as leading Thai and international private and public corporations, on both domestic and cross-border transactions in Thailand and throughout Southeast Asia, covering the full spectrum of industry sectors. Mergers & Acquisitions. We are uniquely qualified to provide our clients with a comprehensive suite of legal and business advisory services covering the entire M&A life-cycle – from deal feasibility analysis and legal and tax structuring, through to contract drafting and negotiation, deal execution and closing, and exit strategy planning and implementation. Our highly experienced M&A team provide innovative legal and business solutions to Thai and international corporations, financial advisors, and private equity firms on both large and small-scale domestic and cross-border M&A transactions in Thailand and across Southeast Asia, covering the full spectrum of industry sectors.
Tax & Corporate Restructuring. Led by Chinawat Assavapoke and Saravut Krailadsiri, two of Thailand’s most experienced and well-respected tax law specialists, our tax and corporate restructuring practice provides a level of expertise and innovation that few other law firms in Thailand can match. We deliver a broad range of specialist tax advisory services to both Thai and international corporations, individuals, family offices, and financial institutions, covering the full spectrum of industry sectors, with particular emphasis on domestic and cross-border M&A investment structuring and tax optimization, pre- and post-IPO corporate restructurings and business spin-offs, wealth management and tax planning for corporations, family offices and HNWI/UHNWI, transfer pricing, tax disputes, estate tax planning, and indirect tax matters.
Litigation, Arbitration & Dispute Resolution. Legal disputes can be costly, time-consuming and, above all, a significant disruption to the continued smooth operation of any business. Our team of highly experienced litigators, all of whom are accomplished legal and business strategists known for their tenacious focus on achieving outstanding results, work closely with clients and other key practice areas of the firm to ensure that disputes are resolved as quickly and efficiently as possible. Our lawyers regularly appear before all levels of Thai Courts as well as in national and international arbitration proceedings on a wide range of matters, including general corporate and commercial disputes, construction and telecommunication disputes, administrative law disputes, bankruptcy and rehabilitation proceedings, and disputes involving property-related matters, employment and benefits, intellectual property, criminal law, and white collar crime.
Debt & Equity Capital Markets. We advise on a wide range of capital market offerings, representing issuers, underwriters, investors, placement agents, trustees and other participants in transactions across a range of industries, including IPOs, secondary and follow-on stock offerings, high yield debt and bridge financings, convertible debt offerings, as well as equity and equity-linked derivatives.
Our capital markets team are highly regarded for providing cutting-edge advice on complex securities and regulatory matters and have significant experience working with regulatory bodies and government agencies in Thailand, including the Office of the Securities and Exchange Commission and the Stock Exchange of Thailand.
Foreign Direct Investment. We act as trusted legal and business advisors to leading international private and public corporations, private equity funds, and foreign individuals on all aspects of their investment transactions in Thailand and across Southeast Asia. Our service offerings include advice
on investment structuring, tax optimization (including exit strategy analysis), establishment of investment entities, obtaining licenses, permits and other regulatory approvals, and applying for tax and other investment privileges from Thailand’s Board of Investment. We also work regularly with US clients on obtaining specific benefits under the Thai-US Treaty of Amity and Economic Relations.
Infrastructure Funds & REITs. We have substantial experience advising both domestic and international sponsors, owners, financial advisors, managers, and underwriters on the formation and structuring of infrastructure funds and REITs, and work with our clients on the full spectrum of securities, tax, and regulatory issues typically associated with such transactions.
China Practice. Kudun and Partners is the first independent law firm in Thailand to establish a dedicated China Practice to serve the unique needs of Chinese corporations and individuals on both inbound and outbound investment transactions in Thailand and throughout Southeast Asia.
