Voon is the managing partner of Stephenson Harwood in Greater China and a senior corporate partner based in Hong Kong with a strong emphasis on international corporate finance, commercial contracts and technology practice.
He has broad experience in fund raising, cross-border restructuring, acquisitions and disposal of assets and shares, joint ventures and securities law, much of which relates to listed company clients. He also assists listed clients, both in Hong Kong and internationally, with on-going regulatory and compliance matters. Apart from mainstream corporate/commercial work, Voon is actively involved in the firm’s business technology practice and advises on commercial agreements and contracts involving e-commerce businesses, software and website design and technology agreements.
Voon has an MBA from Ashridge Business School and a working experience as a corporate planning manager in a financial institution, which enable him to be particularly aware of his clients’ broader business needs.

Commercial and trade
Voon coordinates the firm's Greater China international corporate finance practice.
This practice was very active in taking Asian companies to list on AIM over 2006-08. In his role, Voon has been involved in most of the Asian AIM listings and reverse takeover projects handled by the firm's Greater China offices.
On a continuing basis, Voon advises a number of companies listed on the Hong Kong Stock Exchange on regulatory and securities matters.
On commercial law matters, Voon regularly assists clients in negotiating commercial contracts such as distribution/licensing agreements and trade contracts.
Information technology
Voon leads the Hong Kong office's business technology law practice.
At the height of the dotcom era, Voon advised many technology companies in relation to e-commerce commercial agreements, website design, privacy law matters and technology agreements. He also assisted these companies and private equity providers in relation to the private equity providers' investments in these companies. While this practice is less active in the post-dotcom era, he continues to advise technology clients all aspects of their non-contentious legal needs.
Voon also assists large corporates and banks to negotiate IT outsourcing and licensing agreements.

Voon advises financial institution and corporates on the securities and licensing issues.
This includes matters relating to Listing Rules, Securities and Futures Ordinances, Takeovers Code, Telecommunications Ordinance, Clearing and Settlement Systems Ordinance, Dutiable Commodities Ordinance and other Hong Kong related licensing issues.
Funds
Voon advises on the establishment and structuring of private and public funds. Voon has involved in the establishment of a number of funds traded on AIM.
Recent Work
- Advised on the IPO of Bolina Holding Co., Ltd. on the Main Board of the Hong Kong Stock Exchange, raising approximately US$58 million.
- Advised Lai Sun Development Company Limited and its direct wholly-owned subsidiary, Lai Sun International Finance (2012) Limited on the issue of US$350 million of 5.70 per cent guaranteed notes due in 2018.
- Advising financial institution and corporates on the application of the new Securities and Futures Ordinances, particularly on disclosure of securities interests.
- Advised Prosperity International Holdings Limited (“PIHL”) in relation to the sale of its HK$3.8 billion Chinese cement business to TCC International Holdings, a subsidiary of Taiwan’s largest cement manufacturer, TCC Co. PIHL has a subsidiary, Prosperity Minerals Holdings Limited (“PMHL”), whose shares are admitted to trading on the AIM market of the London Stock Exchange plc.. The buyer is a company listed on the Main Board of The Stock Exchange of Hong Kong Limited (“HKSE”). The disposal had to deal with compliance requirements of both AIM and the HKSE.
- Assisted Star Crown Capital Ltd in the acquisition of the controlling interest of HK$346 million in KTP Holdings Limited, a company listed on the Main Board of the HKSE, followed by the making of a mandatory general offer.
- Advised Chiho-Tiande Group Limited, on its listing on the Main Board listing, raising approximately HK$78.25 million.
- Advised Chiho-Tiande Group Limited, a listed company on the Main Board of HKSE on the investment by SIMS Metal Management Limited involving the sale of existing shares and the issue of convertible bonds with detachable warrants.
- Advised the sole sponsor, Guotai Junan Capital Limited, and the underwriters for the listing of the securities of Active Group Holdings Limited on the Main Board of The Stock Exchange of Hong Kong Limited (“HKSE”) raising approximately HK$360 million.
- Acted for an international fund management institution in compliance and IT related work in drawing up a plan to centralise the back office processing of its various branches regionally.
- Acted for a European private bank, with operations in Hong Kong on its acquisition of a trust business.
- Acted on a number of minerals investments in the Philippines, Brazil, Malaysia, Indonesia, Canada and China.
