Bird & Bird is pleased to announce that it has advised DP Poland Plc on its £20.5 million fundraising through a direct subscription of approximately £11.0 million by Domino’s Pizza Group Plc, a placing of £8.5 million, and a separate retail offer to existing shareholders in the way of £1.0 million (the “Fundraise“). The placing, by way of an accelerated bookbuild process, was undertaken by the Company’s broker Singer Capital Markets Securities Limited (“SCM“). SCM is also acting as Retail Offer Coordinator for the Company in connection with the Retail Offer. The Fundraise is conditional upon the approval by shareholders of certain resolutions required to facilitate the Fundraising at a general meeting of the Company to be held on 18th April.
DP Poland Plc, the operator of pizza stores and restaurants across Poland and Croatia, continues to accelerate its growth strategy. Following the acquisition of Dominium SA in Poland in January 2021 and All About Pizza d.o.o in Croatia in July 2022, the Group currently operates 111 Domino’s Pizza stores and restaurants across Poland and 5 in Croatia. Over the last 12 months, the Company has been able to lower delivery times by 4% (in FY 2023 YoY), increase orders and improve repeat business. The fundraising will be used to open or relocate 45-50 more stores in Poland and Croatia, upgrade c.25-30 stores in Poland, and support cost optimization projects and further digital transformation.
