In this deal, Deacons advised Vertex Technology Acquisition Corporation Ltd (“VTAC”, being the first SPAC listed on the Mainboard of the Singapore Exchange Securities Trading Limited (“SGX-ST”)) as to Hong Kong law in relation to its de-SPAC transaction involving acquisition of the entire issued share capital of 17LIVE Inc. for a total consideration of up to approximately S$922.9 million (approximately US$680 million). 17LIVE Inc. operates a pure-play live streaming platform in Japan and Taiwan with a presence in, among other places, Hong Kong. The listing of 17Live marks not only Singapore’s first completed de-SPAC transaction, but also the first live-streaming company to be listed on the SGX-ST.
