Sidley advised the book-running lead managers on the approximately US$2.35 billion initial public offering (IPO) of equity shares of National Stock Exchange of India Limited (NSE). The shares were listed on the BSE on September 24, 2026.
To date, this IPO marks India’s second-largest IPO and the largest of 2026, valuing NSE at approximately US$46 billion at the offer price. The offering comprised an offer for sale by existing shareholders.
NSE is one of the most important institutions in India’s capital markets. As India’s largest stock exchange and the world’s largest derivatives exchange by number of contracts traded in fiscal year 2026, its long-awaited IPO marks a major milestone for India’s financial markets.
The book-running lead managers were Kotak Mahindra, JM Financial, Morgan Stanley, Citigroup, HSBC, J.P.
