Skadden advised long-standing client, Xiaomi Corporation, a leading Chinese consumer electronics and smart manufacturing company, on its HK$42.6 billion (US$5.5 billion) placing of existing shares and top-up subscription of new shares. The transaction was completed on March 27, 2025.
The Skadden team was led by China Practice Co-head, Paloma Wang, with Counsel Martina To and Associate Adriana Chiu. Partner Yuting Wu advised on U.S. securities law. Partner Brian Egan and Counsel Katie Clarke in Washington, D.C., advised on reverse CFIUS matters.
Skadden has advised Xiaomi on numerous transactions over the years, including its landmark US$5.4 billion IPO and listing on the Hong Kong Stock Exchange in 2018. The IPO was the first ever Hong Kong offering to adopt a dual-class share structure and the first to list under Hong Kong’s then new regime for innovative technology companies.
