SSEK Law Firm has advised PT Wijaya Karya Realty on the divestment of its entire stake in PT Hotel Indonesia Group to PT Hotel Indonesia Natour (InJourney Hospitality), a subsidiary of PT Aviasi Pariwisata Indonesia (Persero) (InJourney).
PT Wijaya Karya Realty is a subsidiary of PT Wijaya Karya (Persero) Tbk, a publicly listed Indonesian state-owned enterprise (BUMN) engaged in integrated infrastructure businesses. PT Hotel Indonesia Group is a hotel management company that operates various state-owned midscale to luxury hotels.
SSEK advised PT Wijaya Karya Realty on the transaction and prepared various transaction documents, including the conditional share sale and purchase agreement (CSPA), various memoranda of agreement, including one for determining the sale price, and amendments to provisions under the CSPA. SSEK also provided advisory support throughout the transaction, negotiated the terms of the CSPA, and assisted with the closing.
