Eddymurthy spoke at an executive corporate law program organized by The Indonesia Capital Market Institute (TICMI), where she presented on “Strategic Transactions of State-Owned Enterprises: Mergers, Acquisitions, and Spin-Offs from the Perspective of the New Criminal Code (KUHP).”
Ira discussed key legal and governance considerations in SOE transactions, including corporate criminal liability, regulatory and accountability frameworks, the implications of Indonesia’s new Criminal Code for mergers, acquisitions, and spin-offs, directors’ fiduciary duties, and governance lessons from failed transactions.
