Davis Polk advised the dealer manager in connection with an exchange and tender offer by Shui On Development (Holding) Limited (“Shui On Development”) with respect to two series of its existing senior notes due 2021 guaranteed by Shui On Land Limited (“Shui On Land”).
In addition, Davis Polk advised the initial purchasers in connection with a concurrent $400 million Regulation S offering by Shui On Development of its 5.5% senior notes due 2025 guaranteed by Shui On Land.
Shui On Land is one of the leading property developers in the PRC, which engages principally in the development and redevelopment, sale, leasing, management and ownership of high-quality residential and mixed-use properties in the PRC. Shui On Land is listed on the Hong Kong Stock Exchange with a stock code of 272.
