On 21 September 2026, The Stock Exchange of Hong Kong Limited (Exchange) published a consultation paper seeking market feedback on a set of proposals to refine requirements relating to corporate transactions by listed issuers to enhance the competitiveness of Hong Kong’s listing framework, which form the second phase of the Exchange’s listing framework competitiveness review and focus on the post-listing requirements governing notifiable transactions, connected transactions and spin-off transactions.
The proposals seek to provide listed issuers with greater flexibility and certainty in their corporate transactions, and increase efficiency in terms of costs and time, while maintaining appropriate shareholder safeguards through enhanced disclosure requirements and effective board accountability.
The consultation period ends on 30 November 2026.
The Exchange proposes that the amendments to the Rules Governing the Listing of Securities on the Exchange (Listing Rules) would come into effect on the date indicated as the effective date in the conclusion paper of this consultation (Effective Date), which is expected to be shortly after publication of the conclusion paper.
