Appleby acted as Isle of Man counsel to Pension SuperFund Capital on its acquisition of the entire issued share capital of STM Group PLC.
STM Group is a multi-jurisdictional financial services group that was previously listed on the London Stock Exchange’s AIM Market, which has provided independent fiduciary services and asset structuring to high net worth individuals and corporate institutions for over 25 years.
The acquisition was structured as a court-sanctioned scheme of arrangement, which became effective on 31 October 2024 following regulatory approval in Malta and Gibraltar.
The multi-disciplinary Appleby team comprised Garry Manley (corporate/M&A), Claire Corkish (litigation), and Tom Brook (finance). Appleby worked closely with global law firm Simpson Thacher & Bartlett LLP, which was retained as lead counsel to Pension SuperFund Capital.
