Davis Polk advised the initial purchaser in connection with the Regulation S offering of $300 million principal amount of 7.45% senior notes due 2022 by Bright Scholar Education Holdings Limited. The notes are guaranteed by certain offshore subsidiaries of Bright Scholar.
Bright Scholar is the largest operator of international and bilingual schools in China, with over 30,000 students and more than 6,000 faculty and staff. Bright Scholar's portfolio of business operations covers kindergarten and school education, extracurricular training services, overseas study tours, domestic camps and education technology.
The Davis Polk corporate team included partner Gerhard Radtke, counsel Bingqing Pan, associates Hei Tung Cheng and Vivian Chow, and registered foreign lawyer Xiushan Sun.
