Ms. Randy Tsai is a partner with Tsar & Tsai and is a Taiwan and Maryland-licensed attorney. Randy joined Tsar & Tsai in 1998. She focuses her work on the fields of corporate finance, cross-border transactions, mergers and acquisitions, securities, insurance, labor, fair competition and international arbitration and litigation. Randy has many years of experiences assisting multi-national companies in complex domestic and international transactions and business disputes.
Randy’s prior work includes representing foreign investors to acquire local banks and insurance companies, assisting listed companies in Taiwan to form joint venture with foreign companies and assisting local companies to acquire business of foreign listed companies. Randy also advises many listed companies on their offering of ADR, TDR, ECB and other securities onshore and offshore. Randy also participates in cases relating to lenders’ negotiation of syndication loans and structured deals with financial institutions.
Randy has also assisted international private equity funds to structure their transactions with or investments in Taiwanese companies and counseled foreign mutual funds on their offering and distribution of products. Randy also constantly assists the clients on legal due diligence and advises them on issues related to merger control filings and anti-trust issues. She has successfully assisted many clients to obtain merger control clearance from our Fair Trade Commissions.
In addition to her transaction and securities works, Randy is also an experienced lawyer for international dispute resolution and has assisted various companies to defend or pursue their rights in international arbitrations or litigations.
Randy is an active member of the American Chamber of Commerce in Taipei. As an experienced counsel in insurance sector, Randy has been advising the Chamber’s Insurance Committee on insurance legislations.
