Ms. Sophia Hsieh is a Partner with Tsar & Tsai Law Firm. Her practice focuses on mergers & acquisitions, reorganization, cross-border transaction, company formation, investment, labors and employments, insurance as well as corporate governance, regulatory compliance, money laundering prevention and anti-bribery and corruption.
Sophia has been practicing law for more than 20 years with abundant successful experiences advising both local and multinational companies on a variety of cross-border transactions, joint ventures, reorganizations and other investment projects, including analyzing and reviewing the appropriate deal structures, advising on local laws and regulatory compliance requirements, conducting due diligence exercise, preparing and negotiating transaction documents, obtaining regulatory approvals, advising on labor laws and employment issues and implementing the post-transaction corporate restructuring, transitioning and corporate governance matters. She is also regularly invited by the Securities and Futures Institute to share experiences and insights into global M&A practice with public companies.
Sophia is also an expert in insurance industry. Prior to joining Tsar & Tsai Law Firm, she had worked for a multinational insurance company serving as the General Counsel, Compliance Officer and Money Laundering Prevention Officer for its operation in Taiwan for nearly 6 years responsible for, among others, setting up compliance, money laundering prevention and anti-bribery and corruption frameworks with policies and procedures to ensure that an effective system thrives and operates at all levels of the company, conducting compliance reviews, identifying and submitting suspicious transaction reports, developing compliance, money laundering prevention and anti-bribery and corruption training programs. With in-depth industry knowledge and hand-on experience, Sophia continues advising insurance businesses over the years on a wide range of compliance matters. She has also worked with the Insurance Committee of American Chamber of Commerce in the drafting of White Paper for insurance issues for many years and is currently a member of Financial Supervisory Commission’s Investment Product Review Committee.
