Skadden advised NTT Group on concurrent US dollar and Euro-denominated guaranteed notes offerings with a total value exceeding US$10 billion. The notes were issued by NTT Finance Corporation and guaranteed by Nippon Telegraph and Telephone Corporation, the parent company of NTT Finance Corporation and one of Japan’s largest telecommunications providers.
The US dollar-denominated notes were issued in five tranches, in aggregate principal amounts of: US$1,500,000,000 of 0.373% senior notes due 2023; US$1,000,000,000 of 0.583% senior notes due 2024; US$3,000,000,000 of 1.162% senior notes due 2026; US$1,500,000,000 of 1.591% senior notes due 2028; and US$1,000,000,000 of 2.065% senior notes due 2031.
The Euro-denominated notes were issued in two tranches, in aggregate principal amounts of €1,000,000,000 of 0.010% senior notes due 2025 and €1,000,000,000 of 0.342% senior notes due 2030.
The notes were listed on the Singapore Stock Exchange. The offerings closed on 3 March 2021.
