L&L advised and acted for Bayer AG and (its Indian listed subsidiary BayerCrop Science Limited [BCS] on the indirect open offer made by Bayer AG as the Acquirer and acting in concert with BCS, to the public shareholders of MIL. The aggregate consideration of the open offer assuming full acceptance was INR 13,136,714,525.
The team advised on the entire open offer process including structuring of the open offer, finalization and issuance of all open offer documents and negotiations and engagement with other intermediaries such as the escrow agent and banker on the transaction.
With this deal, Monsanto would add seed business to Bayer’s already significant crop science and pharmaceutical business in India.
