Sullivan & Cromwell LLP represents Goldman Sachs & Co LLC as financial adviser to MPM Holdings Inc. (“Momentive”) (U.S.) in its definitive merger agreement with SJL Partners LLC (South Korea), KCC Corporation (South Korea) and Wonik QnC Corporation (South Korea) (collectively, the “Investor Group”), whereby the Investor Group will acquire Momentive in a transaction valued at approximately $3.1 billion, announced September 13, 2018.
