Ira A. Eddymurthy, a founding partner of SSEK Legal Consultants, was a featured speaker at a recent Hukumonline webinar, “Application of the Business Judgment Rule Doctrine in Indonesia in Corporate Business Activities.”
The event discussed the Business Judgement Rule as a form of protection for company organs that carry out their duties in accordance with the company's Articles of Association and applicable laws and regulation.
Ira said the Business Judgment Rule was a legal principle that protected a company’s directors, managers and other company organs from personal civil liability. However, this protection only applies if losses result from a transaction, agreement or decision taken in good faith and in the best interest of the company.
