Davis Polk is advising Tongcheng Network Technology Limited in connection with its proposed combination with China E-dragon Holdings Limited. Concurrent with such combination, Tencent Holdings Limited, an existing stockholder of Tongcheng and E-dragon, will subscribe for a new issue of stock by the combined company.
Tongcheng and E-dragon are online leisure travel service providers that focus on ticket booking services for scenic attractions, hotels, domestic and international air tickets and cruises.
