Pioneer Reward Limited, an overseas wholly owned subsidiary of Huatai Securities Co., Ltd. (“Huatai Securities”, stock code: 601688.SH and 6886.HK), established an overseas medium term note programme on July 31, 2023, for the issue of notes in an aggregate principal amount equivalent to USD 3 billion. The programme was to be listed in Hong Kong and Singapore, under which the first tranche of USD 800 million 3-year senior unsecured notes with a fixed interest rate of 5.25% (the “Notes”) were closed on August 9, 2023, and were listed in Hong Kong. Huatai Securities acted as the guarantor (the “Project”).

In this Project, JunHe acted as the PRC legal counsel to the underwriter, the international legal counsel to the underwriter and the legal counsel to the trustor, respectively. The legal services provided by the PRC legal counsel to the underwriter included conducting domestic legal due diligence, issuing PRC legal opinions, reviewing transaction documents, and other legal services in respect of PRC law-related issues involved in the Project. The legal services provided by the international legal counsel to the underwriter included drafting a full set of transaction documents, participating in the negotiation and amendment of the transaction documents, issuing overseas legal opinions, and other legal services in respect of foreign law-related issues involved in the Project. The legal services provided by the legal counsel to the trustor included reviewing transaction documents and relevant legal opinions. JunHe was recognized and trusted by the clients and other intermediaries for its consistent delivery of rigorous and efficient legal services and detail-oriented and professional expertise.
The Project is another representative project in which JunHe’s domestic and overseas teams joined efforts to provide one-stop legal services. The close cooperation between the firm’s domestic and overseas offices improved the efficiency of communication and saved time and costs to the clients.
