Commercial law firm Hill Dickinson has advised Apave Group on the acquisition of Scottish company Plant Integrity Management (PIM).
Apave is an international group with more than 150 years of experience, specialising in the management of technical, environmental, human and digital risks. Its acquisition of PIM is the Group’s twentieth acquisition since the launch of its strategic plan at the end of 2020 and confirms its determination to become a world leader in the TIC (Testing, Inspection, Certification) sector.
Headquartered in Aberdeen, PIM is a leading provider of Asset Integrity Management (AIM) solutions to ensure the security of engineering activities. Established in 2011, the company employs around 70 staff serving clients locally and internationally in regions such as continental Europe, Africa and the Middle East. The company also provides safety consultancy to its clients who operate in the energy and industrial sectors, with a historical focus on pressure systems and structural integrity.
The integration of PIM within the Apave Group aims to facilitate PIM’s entry into the fast-growing renewable energy and nuclear sectors by leveraging Apave’s extensive expertise and reputation in these areas.
Leading on the provision of legal advice to Apave was Emma Callow, partner in Hill Dickinson’s Corporate team, assisted by senior associate Tom Wisniewski and associate Alex Bloomer. They were supported by Employment team associate Rubena Rahman and tax partner David Klass.
Commenting on the deal, Emma Callow said: “We were delighted to act for Apave on the Group’s first UK acquisition as it transitions its business offering from asset inspection to 360° management of clients’ asset integrity. We wish both parties every success as they continue to move the newly expanded business forward.”
Philippe Maillard, chief executive officer, Apave Group, added: “We are entering a new phase in the growth of our Group. I am delighted to welcome the PIM teams to the Group and their innovative Asset Integrity Management (AIM) solutions. Apave is thus strengthening its presence in the North Sea, a strategic geographical area, and its ability to offer global and innovative solutions for the industrial and energy sectors.”
With a turnover of €1.2 billion in 2023, Apave has 14,000 employees, including 10,000 engineers and technicians, and an international presence in more than 55 countries.
