Nippon Life Insurance Completes Notes Offering.

Skadden advised J.P. Morgan Securities LLC, Citigroup Global Markets Inc., Morgan Stanley & Co. LLC, Barclays Capital Inc. and HSBC Securities (USA) Inc. as joint lead managers and joint bookrunners in a US$1.32 billion Rule 144A/Regulation S offering of 5.95% step-up callable subordinated notes due 2054 by Nippon Life Insurance Company. The notes were listed on the Singapore Stock Exchange.
